Terms of service
Short version
Memophant is a paid macOS app published by Alan Wizemann, LLC. When you buy it, you're licensed to use it under the Heirloom License. Payment is processed by Paddle, who is the seller for tax purposes. If you change your mind within 14 days, you get a full refund, no questions asked. The app is provided as-is — your memory lives in your repo and you can take it with you whenever.
Who we are, who you are
These terms are an agreement between you (“you,” the customer) and Alan Wizemann, LLC, a limited-liability company organized under the laws of the State of Delaware, USA (the “Licensor,” “we,” or “us”).
By downloading, installing, or using Memophant — or by buying a license — you agree to these terms. If you don't agree, don't install or use the app.
The software
“Memophant” means the macOS application of the same name, including its bundled command-line tools, the in-app MCP server, and any updates or documentation we make available to you under your license.
Memophant requires macOS 15 (Sequoia) or later and runs on Apple Silicon or Intel Macs. System requirements may change in future versions.
Payment (via Paddle, our Merchant of Record)
When you buy Memophant, your purchase is processed by Paddle.com Market Limited(“Paddle”), who acts as the Merchant of Record. Paddle is the seller on the transaction, handles applicable sales tax / VAT / GST in your jurisdiction, and issues you a receipt. Your purchase is also subject to Paddle's buyer terms.
Prices on memophant.co are listed in U.S. dollars exclusive of taxes. Paddle's checkout shows the final price including any taxes for your region.
Pricing is a one-time purchase of $49.99 USD for the current major version, which includes one year of updates and the Heirloom guarantee. There is no automatic renewal or subscription. We may change pricing for future versions; existing licenses are unaffected.
Your license
Memophant is licensed, not sold, under the Heirloom License v1.0 (variant HL-1.0-MPL2.0-12mo). The full license text ships with the app as LICENSE.md and is the authoritative grant of rights.
In short: while Memophant is actively maintained, your license lets you use the app on all the Macs you personally use, for any purpose other than building a competing product. If Memophant is ever truly abandoned (12 months of dormancy plus no support response), the source automatically becomes open under MPL-2.0, for everyone, forever.
Acceptable use
You agree not to:
- Resell, sublicense, or redistribute the app outside what the Heirloom License permits.
- Use the app to build a product that substantially competes with Memophant.
- Use the app to violate any applicable law or to harm other people's rights.
- Remove or alter copyright, trademark, or license notices.
- Probe, attack, or attempt to circumvent the license-key mechanism.
AI features and your API key
Memophant's in-app AI features (Distill, Consolidate, Migrate, Generate, Run with Claude, and similar) call the Anthropic API using a key you provide. The key is stored only in the macOS Keychain on your machine; we never see, store, proxy, or log it.
You are responsible for your use of Anthropic's services under their terms. Token costs for AI calls are charged to your Anthropic account, not to us.
Refunds
We offer a no-questions-asked refund for 14 days after purchase. For full details and instructions, see our refund policy.
Updates and maintenance
Your purchase includes one year of updates from the date of purchase. We deliver updates via in-app Sparkle. You can keep using the version you purchased indefinitely; renewing for another year of updates may become available in the future and is always optional.
Termination
Your license terminates automatically if you materially breach these terms and don't cure the breach within 30 days of becoming aware of it. Upon termination, you must stop using the app and delete all copies you have.
Rights that have vested under the Heirloom License's Change License on or after Sunset (see the license) are governed by that license and are not terminated by this section.
Disclaimer of warranty
The app is provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We work hard to make Memophant reliable, but software has bugs and AI features can be wrong. Review what the app proposes before applying it to your repo. The secret-scan reduces risk but does not eliminate it.
Limitation of liability
To the maximum extent permitted by law, in no event will the Licensor be liable to you for any indirect, special, incidental, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of these terms or your use of the app, whether in contract, tort, or otherwise.
Our total liability to you for any claim arising under these terms is limited to the amount you paid us for the app in the 12 months preceding the claim.
Governing law and venue
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising under these terms is subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
If you are a consumer in the European Union, United Kingdom, or another jurisdiction with non-waivable consumer-protection laws, nothing in these terms affects your statutory rights.
Changes to these terms
If we change these terms materially, we'll update the date at the top of the page and, for active license holders, send an email notice. Your continued use of the app after the changes take effect constitutes acceptance.
